Terms of Service

1. Agreement to Terms

By accessing or using Prowl (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. You must be at least 18 years old to use Prowl. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Service Description

Prowl is an AI-powered competitive intelligence platform that monitors publicly available information about businesses, including website content, pricing pages, news articles, job postings, and social media mentions. The Service aggregates and analyzes this public data to provide strategic insights. Prowl does not guarantee the completeness, accuracy, or timeliness of any data or analysis provided.

3. Subscriptions & Billing

Prowl offers both free and paid subscription plans. By selecting a paid plan, you agree to the following:

• Paid plans are billed in advance on a monthly recurring basis through Stripe, our payment processor.
• Your subscription automatically renews each billing cycle unless you cancel before the renewal date.
• Plan prices are listed on our pricing page and may change with 30 days’ notice.
• You may upgrade, downgrade, or cancel your plan at any time through your account settings or the Stripe billing portal.
• Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the Free plan.
• We do not provide refunds for partial billing periods, except where required by applicable law.
• If payment fails, we may suspend access to paid features until the payment issue is resolved. We will notify you via email before any suspension.

4. Acceptable Use

You agree to use Prowl only for lawful competitive intelligence purposes. You may not:

• Use the Service to access non-public or protected information
• Attempt to circumvent authentication or access controls on third-party websites
• Use gathered intelligence for harassment, defamation, or illegal purposes
• Resell, redistribute, or sublicense raw data or analysis obtained through the Service without our written consent
• Use the Service in violation of any applicable law or regulation
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use automated tools, bots, or scripts to access the Service beyond normal usage (API access excluded for Pro plan users within their plan limits)
• Share account credentials with unauthorized third parties
• Use the Service to monitor individuals rather than businesses

5. Data Collection & Public Information

Prowl only collects and analyzes publicly available information. We do not scrape password-protected content, bypass CAPTCHAs, or intentionally violate robots.txt directives. All data sources are public web pages, public news articles, public job boards, and public social media posts. We rely on third-party services (Firecrawl, Tavily) for data collection, and we are not responsible for their compliance with individual website terms of service.

6. AI-Generated Analysis

The strategic analyses, recommendations, threat scores, battlecards, and insights provided by Prowl are generated by artificial intelligence (Anthropic Claude). While we strive for accuracy, AI-generated content may contain errors, misinterpretations, hallucinations, or outdated information. You should independently verify any business decisions based on Prowl’s analysis. Prowl is a decision-support tool, not a decision-making tool.

7. Intellectual Property

The Prowl service, including its design, features, code, branding, and documentation, is owned by Prowl and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of any notes, custom data, or content you create within the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA OR ANALYSIS WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROWL AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Prowl and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Account Responsibility

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or exhibit fraudulent or abusive behavior.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience downtime due to factors beyond our control (including third-party service outages). We will make reasonable efforts to notify users of planned maintenance in advance.

13. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that is harmful to other users or the Service. You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. Upon termination, your right to use the Service ceases immediately, and we may delete your data in accordance with our Privacy Policy.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law provisions.

15. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your account before they take effect.
